These Terms of Service govern your use of Capwise. Please read them carefully before using the platform. By using Capwise, you agree to these terms.

01Acceptance of Terms

Agreement

By accessing or using Capwise ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Capwise. By using the Service, you represent that you meet these requirements.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

02Description of Service

What Capwise Provides

Capwise is a founder education and tooling platform that provides financial modeling tools, cap table management, pitch deck guidance, and fundraising resources for startup founders.

Not Financial or Legal Advice

The content, tools, and resources on Capwise are for educational and informational purposes only. Nothing on Capwise constitutes financial, legal, tax, or investment advice. Always consult qualified professionals for decisions affecting your business.

Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice.

03User Accounts

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep this information updated.

One Account Per Person

Each person may maintain only one Capwise account. Creating multiple accounts to circumvent restrictions or access free tiers is prohibited.

04Acceptable Use

Permitted Use

You may use Capwise for lawful purposes related to building and managing your startup. You may not use the Service in any way that violates applicable laws or regulations.

Prohibited Activities

You may not: (a) reverse engineer or attempt to extract source code; (b) use automated tools to scrape or harvest data; (c) impersonate other users or entities; (d) upload malicious code or content; (e) use the Service to harm, defraud, or deceive others.

Content Standards

Any content you submit must not be defamatory, obscene, infringing, or otherwise unlawful. We reserve the right to remove content that violates these standards.

05Intellectual Property

Capwise IP

All content, features, and functionality of Capwise — including the software, design, text, graphics, and educational materials — are owned by Capwise and protected by intellectual property laws.

Your Content

You retain ownership of all data and content you create within Capwise (financial models, cap tables, notes, etc.). By using the Service, you grant Capwise a limited license to store and process this content solely to provide the Service to you.

Feedback

If you provide feedback or suggestions about Capwise, you grant us the right to use that feedback without restriction or compensation.

06Payment & Subscriptions

Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

Price Changes

We may change subscription prices with 30 days notice. Price changes take effect at your next renewal date.

07Disclaimers & Limitation of Liability

As-Is Service

Capwise is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Capwise shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Cap on Liability

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to Capwise in the 12 months preceding the claim.

08Termination

By You

You may terminate your account at any time from the Settings page. Upon termination, your data will be deleted in accordance with our Privacy Policy.

By Capwise

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we discontinue the Service. We will provide reasonable notice where possible.

09Governing Law

Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

Dispute Resolution

Before initiating formal legal proceedings, you agree to contact us at hello@capwise.uno to attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days.
